Long-term ownership strategy

Build to sell — planned exit in Year 10

Our intended exit is a sale of the group, selected portfolio brands or their underlying digital assets in approximately 2036. The strategy is to make the operation attractive to a strategic acquirer, education provider, specialist publisher or digital portfolio operator, rather than depend on founder-led delivery.

Years 1–2: prove

Launch the portfolio, demonstrate repeatable sales, validate products, maintain clean trading records and establish customer retention benchmarks.

Years 3–5: scale

Concentrate capital in the strongest businesses, professionalise management, increase recurring revenue and work towards the £1.5m annual turnover goal.

Years 6–8: strengthen

Reduce founder dependency, improve profit quality, diversify acquisition channels, strengthen defensible content and intellectual-property ownership.

Years 9–10: prepare and sell

Prepare audited or transaction-ready financial information, contracts, rights registers, buyer materials and due diligence; run a structured sale process with advisers.

Exit valuation approach

There is no defensible sale-price forecast today. Value will depend on maintainable EBITDA, recurring revenue quality, concentration, customer retention, growth, market conditions and buyer appetite. For illustration only, £450,000 maintainable EBITDA at a hypothetical 3–6× multiple would imply £1.35m–£2.7m enterprise value; this is neither a Year 10 target nor a professional valuation.

Strategic targets are illustrative and subject to revision. Sale proceeds to shareholders can differ materially from enterprise value due to debt, cash, deal adjustments, fees and tax.
